1. Introduction and Acceptance of Terms

Welcome to HashNext, operating under the brand HashLinks ("we", "us", "our", or the "Company"). These Terms and Conditions ("Terms") govern your access to and use of the HashNext website, Software as a Service (SaaS) platform, APIs, and any related services provided by us.

By registering for an account, accessing the platform, or using our services in any capacity, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services. If you are entering into these Terms on behalf of a company or other legal entity (such as registering as a Workspace Owner), you represent that you have the authority to bind such entity to these Terms.

2. Account Registration and Roles

Our platform utilizes a multi-tiered architecture. The responsibilities and rights vary depending on your assigned role:

• Workspace Owners (Tenants): You are responsible for all activities occurring under your Workspace, including the actions of your assigned Sales Agents. You must provide accurate billing and identity information and maintain the security of your admin credentials.
• Sales Agents: You are authorized by a Workspace Owner to access specific parts of the platform. Your access can be revoked by the Workspace Owner or Super Admin at any time without prior notice.
• Security Obligations: You must promptly notify us of any unauthorized use of your account. HashNext will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3. SaaS Subscription, Billing, and Payments

HashNext operates on a subscription-based model. By subscribing to a Workspace plan, you agree to pay all applicable fees presented to you at the time of checkout.

Payment Terms: Subscription fees are billed in advance on a recurring and periodic basis (monthly or annually, depending on your selection). Unless you cancel your subscription before the end of the applicable billing cycle, your subscription will automatically renew.
Refund Policy: Due to the digital nature of our SaaS platform and the costs associated with server allocations, all payments are non-refundable. We do not provide refunds or credits for any partial subscription periods.
Service Suspension: We reserve the right to suspend or terminate your Workspace if payment is not successfully settled due to expiration, insufficient funds, or otherwise.

4. Acceptable Use Policy

You agree not to use the HashNext platform to:

• Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, or invasive of another's privacy.
• Send unsolicited bulk messages, spam, or telemarketing broadcasts through our integrated communication tools.
• Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running our platform.
• Impersonate any person or entity, including, but not limited to, a HashNext official, or falsely state or otherwise misrepresent your affiliation with a person or entity.

5. Third-Party API Integrations and Liabilities

HashNext provides technical infrastructure to integrate with third-party services, notably the WhatsApp Business API, SMTP servers, and other external communication gateways.

Compliance: You are strictly bound by the Terms of Service and Commerce Policies of these third-party providers (e.g., Meta's WhatsApp Business Policy). HashNext merely acts as a routing software.
Account Bans: If your WhatsApp Business account or any other integrated third-party account is restricted, suspended, or banned due to spam reports, policy violations, or suspicious activities, HashNext holds absolutely zero liability. We will not offer compensation, refunds, or technical workarounds for restrictions imposed by external vendors.

6. Data Ownership and Intellectual Property

Your Data: You retain all right, title, and interest in and to the data, information, and content you upload into your Workspace ("Tenant Data"). You grant HashNext a worldwide, royalty-free, non-exclusive license to host and use your data strictly for the purpose of providing the service to you.
Our Intellectual Property: The platform, its original content, features, functionality, UI/UX designs, and underlying code are and will remain the exclusive property of HashNext and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of HashNext.

7. Service Availability and Modifications

We strive to ensure the highest possible uptime for our SaaS platform. However, HashNext is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the service will be uninterrupted, timely, secure, or error-free.

We reserve the right to temporarily suspend access to the platform for scheduled maintenance, system upgrades, or emergency repairs. We also reserve the right to modify, add, or deprecate features of the platform at our sole discretion without prior notice, provided such changes do not materially degrade the core functionality you subscribed to.

8. Limitation of Liability

In no event shall HashNext, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or cancel your subscription from your Workspace dashboard. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law & Contact

These Terms shall be governed and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
